PREAMBLE
1 - The website www.celinewright.com is published by the company YAMINA, SARL with a capital of €12,000, whose registered office is located in Paris (75004), 56 rue Saint Louis en l'île, registered under the unique identification number RC S B327707360 and under the following intra-community identification number: FR 29327707360 and can be contacted at: 01 43 29 33 93.
The publishing manager is Céline Wright.
Yamina is the author of the sales offer relating to the products presented on her website: www.celinewright.com (“the Website”)
The Website is hosted by the company SERUM AND CO , located at 60 rue Caumartin 75009 PARIS.
2 - These General Terms and Conditions of Sale apply between YAMINA and the Website Customer.
The General Terms and Conditions of Sale, together with the order confirmation issued by YAMINA, constitute the sales contract between the Customer and YAMINA relating to the sale of the Products ordered.
Any order placed on the Website requires the Customer to first accept, without reservation, the General Terms and Conditions of Sale in their entirety. If the Customer disagrees with the terms and conditions of the General Terms and Conditions of Sale, they must not use the Website.
YAMINA reserves the right to adapt or modify these General Terms and Conditions of Sale, with such adaptations or modifications being applicable to all orders placed after such adaptations or modifications.
In the event of any changes, the General Terms and Conditions of Sale applicable to the Customer's order are those that were online and that the Customer accepted on the day the order was placed.
ARTICLE 1 - DEFINITIONS
Terms and expressions identified by a capital letter in the General Terms and Conditions of Sale have the meaning indicated below (whether used in the singular or plural).
- “General Terms and Conditions of Sale”: refers to this document, namely the terms and conditions applicable to the relationship between YAMINA and the Client
- “Order”: refers to the Customer’s purchase order for one or more Product(s) placed through the Website or via Customer Service
- “Website”: refers to the website accessible at www.celinewright.com and/or any other address with a different extension that may be added to or replace it
- "Product": refers to a product offered for sale on the Website
- “Client”: refers to a natural or legal person who uses the Website and acquires one or more Product(s), for their personal or professional needs, through the Website, having previously agreed to the General Terms and Conditions of Sale
ARTICLE 2 - PURPOSE
The General Terms and Conditions of Sale define the rights and obligations of YAMINA and the Customer in the context of the sale of Products by YAMINA on the Website.
Any use of the Website and any order placed for one or more Product(s) through the Website implies full and unconditional acceptance of all the General Terms and Conditions of Sale.
The General Terms and Conditions of Sale are available at the following address: www.celinewright.com/cgv.
Only individuals of legal age and with the capacity to enter into contracts concerning the Products offered for sale on the Website may place Orders on the Website. When placing an order, the Customer guarantees that they have the full legal capacity to agree to the General Terms and Conditions of Sale, place an Order, and conclude a sale.
ARTICLE 3 - CREATING AN ACCOUNT
To order Products on the Website, the Customer must create an account by providing the required information in the registration form (email, last name, first name, password and date of birth) or legal information for companies (legal name, address, trade register number).
To this end, the Customer declares that they are providing complete and accurate personal information that will allow for their precise identification in any situation. The Customer agrees to keep all this information up to date. Any fictitious personal information, and/or information contrary to public order or infringing on the rights of third parties, may result in the closure of the Customer's account and the cancellation of their Order.
When creating their account, the Customer chooses a username and password to access their account. The Customer agrees to keep their username and password confidential.
The Customer is responsible for all actions performed on the Website using their username and password. Any user registered on the Website will be bound by any Order placed using their login credentials, subject to the right of withdrawal under Article 9.3. Without limiting the foregoing, the Customer will inform YAMINA immediately of any unauthorized access to their account of which they become aware, and more generally, of any unauthorized disclosure of their username and password.
ARTICLE 4 - ORDERING PROCEDURES - PLACEMENT
4.1. The Customer can place an Order, in French or English, directly on the Website, after entering their credentials, in accordance with Article 3.
4.2. By browsing the various sections of the Website, the Customer can place the Products of their choice in their shopping cart by clicking on the "Add to cart" button. At any time and until confirmation of the overall order, the Customer may change their mind, change the quantities, and cancel one or more of the selected Products.
The steps required for the sale are detailed on the Website in the following order:
- Selecting products within the shopping cart
- Creating an account or identifying the user who owns an account
- Providing delivery details and, if applicable, billing details if they are different
- Choice of payment method and order summary
- Acceptance of the general terms and conditions of sale and validation
- Entering and validating payment information
- Payment confirmation sent by email
The finalization of the order process consists of YAMINA sending an order confirmation.
4.3. In accordance with the provisions of Article 1369-5 of the Civil Code, the Customer will have the opportunity to check the details of his Order and its total price and, if necessary, to correct or modify it before definitively confirming his order to express his acceptance.
YAMINA cannot be held responsible for any input errors made by the Client, nor for any resulting delays or delivery errors. In such cases, the Client will be responsible for any costs incurred for reshipment.
4.4. Once the contents of their shopping cart have been validated, the Customer will confirm their Order by:
- completing all the requested information;
- declaring that I accept without reservation all of the General Terms and Conditions of Sale;
- validating it through payment.
The validation of the Order by the Customer's "click" constitutes acceptance of the prices and characteristics of the Products purchased by the Customer.
ARTICLE 5 - ORDERING PROCEDURES - CONFIRMATION
5.1. Once the Order has been validated by the Customer in accordance with the terms of article 4.4, a confirmation email, acknowledging receipt of the Order and including all of this information, is sent by YAMINA to the Customer as soon as possible.
5.2. The Order will only be considered final upon YAMINA sending the Client the confirmation email referred to in article 5.1, and the sale of the Product(s) will only be noted upon payment of the corresponding price by the Client.
5.3. Product and price offers are valid as long as they appear on the Website, it being specified that the Website is updated daily.
Product offers are subject to availability. If a product becomes unavailable, particularly due to stock shortages, YAMINA will remove it from the website or update the delivery timeframe on the website. Céline Wright brand products sold on the website are made to order by Yamina, as specified on the order confirmation along with the production time. Sales and promotional offers are clearly marked as such on the website and indicate their validity period.
5.4. In the event that a Product ordered by the Customer is unavailable, in particular due to a stoppage of production or distribution by a supplier, YAMINA undertakes to inform the Customer by email as soon as it becomes aware of this unavailability.
YAMINA will then inform the Client, if applicable, of the new deadline within which the product concerned will be made available and offer him, if one exists, an equivalent product.
If the Customer refuses to wait for the product to become available, or refuses an equivalent product, the Customer will be refunded the price of the Product if their bank account has been debited, within 15 days of the date of confirmation of this refusal.
5.5. In accordance with Article L.122-1 of the French Consumer Code, YAMINA reserves the right to refuse any order for legitimate reasons, including payment issues, foreseeable delivery difficulties, abnormal orders, or orders placed in bad faith. YAMINA also reserves the right to request proof of identity by email and/or telephone, in which case the customer will have the option to cancel their order.
Similarly, YAMINA has the right to refuse the Order in the event that the prices displayed online or resulting from the Order are, in particular due to an error or technical malfunction, computer bug, derisory or not in accordance with the actual selling price of the Product.
ARTICLE 6 - ORDERING PROCEDURES - PRODUCT PRICES
6.1. The price of the Products indicated on the Website is in Euros, inclusive of all taxes. In addition to the price of the Products, logistics preparation and delivery costs are also borne by the Customer. The total amount of these costs, or the method of calculating them if they cannot be calculated in advance, is communicated to the Customer before they confirm their Order.
6.2. For deliveries of Products outside of France, the provisions of the French General Tax Code relating to VAT will apply. For deliveries outside the European Union, the Customer will be responsible for paying any customs duties, VAT, or other taxes due upon importation of the products into the country of delivery.
Unless otherwise specified, all related formalities, declarations, and payments are the sole responsibility of the Client. The Client is solely responsible for verifying the import regulations for the ordered products in the country of delivery.
6.3. YAMINA reserves the right to modify prices, but the price applicable to the Customer's Order will remain that indicated in the summary of their shopping cart at the time of order confirmation. Prices are displayed online or on the Order confirmation, unless they prove to be, particularly due to an error or technical malfunction, computer bug, derisory or inconsistent with the actual selling price of the Product.
ARTICLE 7 - PAYMENT
7.1. Scope of Payment: The price of the Products and the logistics and delivery costs are payable in full by the Customer at the time the Order is placed. Notwithstanding Article L 131-1 of the French Consumer Code, this payment does not constitute a deposit.
The Customer also undertakes to pay or arrange for payment, where applicable, directly to the freight forwarder or carrier, of customs duties, VAT or other taxes due on the importation of the products into the country of delivery.
7.2. Payment method: Payment for the Order may be made in particular by credit card, in a secure environment, according to the terms and conditions offered on the Website.
The payment order made by credit card cannot be cancelled. The Customer's payment of the Order is irrevocable, without prejudice to the Customer's right of withdrawal.
The Client guarantees that he/she is the holder of the bank card and that the card provides access to sufficient funds to cover the payment of the Order confirmation.
The Client's bank account will be debited after the Order confirmation date.
The Customer can also pay for the Order: - By Paypal. The Customer then guarantees to YAMINA that they have the necessary authorizations to use this payment method when placing the Order, or by bank transfer, in which case the order will be definitively validated after receipt of full payment.
The website uses a security system to protect all payment-related data. YAMINA never has access to confidential payment information, which is why this information is requested for each customer order.
7.3. Default of payment and retention of title: The Products ordered remain the property of YAMINA until final and full payment of the sale price.
In the event of non-payment, YAMINA has the right to reclaim the ordered products, the Customer agreeing to return any unpaid Product, at their own expense.
However, the transfer of risk occurs upon delivery, and the Customer therefore bears the risk of loss or damage to the delivered products.
7.4. Payment security: All information exchanged to process order payments is encrypted using the SSL protocol.
For all orders paid by credit card, YAMINA has adopted the secure payment solution Monetico, which encrypts all the information you provide and ensures the required confidentiality and security.
Monetico is PCI DSS certified by Visa, Mastercard, which require the strictest control of financial data held, processed and transmitted.
YAMINA does not store any bank card numbers.
ARTICLE 8 - DELIVERY
8.1. Place of delivery: In principle, the delivery of the Products will take place, after registration of payment of the Order, at the delivery address indicated by the Customer during the placing of the Order.
YAMINA ensures the delivery of Orders to countries and territories worldwide.
8.2. Participation in preparation and delivery costs: The total amount including all taxes (TTC) of the Client's participation in the logistics preparation (processing; shipping) and delivery costs of the Order will be indicated to the Client before the final validation of the Order.
8.3. Delivery time: The delivery time will be indicated to the Customer during the Order placement procedure, prior to Order validation and before payment.
In any event, the maximum delivery time is sixty (60) working days from the Order confirmation of the Product, unless otherwise indicated to the Customer before placing the Order, and as noted on the order confirmation.
In the event of a delivery delay, the Customer may formally request YAMINA to deliver the goods and, if necessary, cancel the sale under the conditions stipulated in Articles L.1138-2 and 3 of the French Consumer Code, provided that the delivery delay is not attributable to the Customer, particularly in cases of repeated unavailability to receive the delivery. If the contract is canceled, YAMINA will issue a refund within 14 days.
8.4. Place of delivery: A delivery is considered to have been made when the Product is made available at the place of delivery agreed with the Customer when placing the Order and, if applicable, with the carrier.
8.5. Collection of Products in Case of Absence: If the recipient is absent at the time of delivery, the carrier will leave a delivery notice at the delivery address provided by the Customer. Depending on the carrier used by YAMINA, the Customer must then either collect their Products from the address and according to the terms indicated by the carrier, or schedule an appointment with the carrier to arrange another delivery date.
If the Products are not collected within the time limits set by the carrier, they will be returned to YAMINA, which reserves the right to refund the price to the Customer, with shipping costs remaining the responsibility of the Customer.
8.6. Effect of delivery: The transfer of risk occurs upon delivery, at the time of handing over the Products to the delivery address indicated by the Customer, or at the time of collection of the Products from the carrier.
Without prejudice to the period available to the Customer to exercise his right of withdrawal, upon receipt of the Products, it is the responsibility of the Customer or the recipient to ensure that the Products delivered correspond to his Order, and to check the condition and conformity of the Products in relation to his Order.
If, upon delivery, the exterior of the package is damaged, the Customer or the recipient of the Products must open the package in the presence of the carrier to verify the condition of the Products. In the event of damage resulting from transport, the Customer must refuse the damaged Products and indicate "refused due to damage" on the return slip.
The customer or recipient must note and identify any defects in the product packaging on the delivery slip before signing, such as "impact on the cardboard box – dented and/or torn cardboard…". Taking photos is strongly recommended.
Without prejudice to the guarantees to which the Customer is entitled under Article 9, for any claim relating to an apparent defect or damage upon delivery of the Product, the Customer must within 48 hours contact YAMINA in order, on the one hand, to preserve YAMINA's rights against the carrier, and on the other hand, if the Product is still in the Customer's possession, to initiate the return procedure under the conditions provided for in Article 9.4.
In the event of refusal of delivery or return of the Product for the reasons referred to in the preceding paragraph, the Customer may request a new delivery or cancellation of his order under the conditions of article 9.1.3.
ARTICLE 9 - CONFORMITY - WARRANTY - RIGHT OF WITHDRAWAL
9.1. Product Conformity
9.1.1. The information and descriptions mentioned for each Product sheet, including photographs, technical characteristics and description, are communicated to YAMINA by the suppliers of the Products.
In accordance with Article L.111-1 of the Consumer Code, YAMINA aims to inform the Customer and enable them to know the essential characteristics of the Product.
Before shipment, the Products delivered to the Customer are checked to ensure their conformity to the description given on the Website.
However, it is specified that, for technical reasons (photographic and computer), the actual appearance of the Products may sometimes differ slightly from that of the photographs presented on the Site.
9.1.2. In addition to the specific warranty conditions to which the Customer is entitled in respect of the Product in question, the Products presented on the Website are subject to the following legal warranty conditions.
According to Article L.211-4 of the Consumer Code:
"The seller is required to deliver goods that conform to the contract and is liable for any lack of conformity existing at the time of delivery. He is also liable for any lack of conformity resulting from the packaging, assembly instructions or installation when the latter was his responsibility under the contract or was carried out under his supervision."
According to Article L.211-8 of the Consumer Code:
"The buyer has the right to demand that the goods conform to the contract."
According to Article L.211-5 of the Consumer Code:
"To be compliant with the contract, the goods must:
1 - To be fit for the purpose for which goods of the same type are normally used and, where applicable:
2 - To correspond to the description given by the seller and to possess the qualities that the seller presented to the buyer in the form of a sample or model;
3 - To present the qualities that a buyer can legitimately expect in view of the public statements made by the seller, the producer or their representative, particularly in advertising or labelling (...).
Article 1641 of the Civil Code
The seller is bound by the warranty against hidden defects in the thing sold which render it unfit for the use for which it is intended, or which diminish this use to such an extent that the buyer would not have acquired it, or would have given only a lower price, if he had known of them.
9.1.3. Pursuant to Articles L.211-9 and L.211-10 of the Consumer Code, the remedy for the consequences of the lack of conformity, duly established and confirmed as such by YAMINA, shall consist, at the Client's choice, unless this wish entails a manifestly disproportionate cost, taking into account the value of the goods or the importance of the defect, compared to the other option, of the repair or replacement of the Product.
If repair and replacement of the item are impossible, the Customer may return the item and receive a full refund or keep the item and receive a partial refund.
In these different scenarios, the Customer must contact YAMINA and agree on the terms of return of the Product in question.
Provided that it is justified, the application of the provisions of Articles L. 211-9 and L. 211-10 of the Consumer Code takes place without any cost to the buyer.
9.2. Right of withdrawal
9.2.1. Any individual Client who acts for purposes which do not fall within the scope of their commercial, industrial, craft or professional activity, and who is not satisfied with the Products ordered must be able to exercise their right of withdrawal, without penalties, under the best conditions.
In accordance with Articles L.121-21 et seq. of the Consumer Code, the legal period for the right of withdrawal is fourteen clear days from the day following physical receipt of the Product, or from receipt of the last product in the case of an order of several products.
The Customer returning the Product under their right of withdrawal is entitled to a refund of the price of the Products ordered; however, the delivery costs will remain the Customer's responsibility. Most products cannot be returned by mail, as the return shipping costs by carrier can reach a maximum of €100. In this case, these costs are payable directly to the carrier upon collection of the returned item.
9.2.2. To exercise this right of withdrawal, the Client must notify YAMINA of their decision to withdraw by means of an unambiguous statement, for example, a letter sent by post, fax or email to info@celine-wright.com, according to the model recommended below, but which is not mandatory.

This cancellation letter must be sent to YAMINA, 56 rue Saint Louis en l'île, 75004 Paris. However, the package containing your returned product must be sent to the following address: YAMINA, 2 Marcelin Berthelot, 93100 Montreuil.
YAMINA will promptly send the customer an email acknowledging receipt of the cancellation. Your request will be processed by our Customer Service department, and we will send you a return authorization number by email. This number must be included with your returned items. Without this return authorization number, a refund or exchange cannot be processed.
Only products returned or exchanged in their original packaging, complete (accessories, instructions, etc.), and in perfect condition for resale (clean, undamaged, unused), will be accepted. The customer is only liable for any diminished value of the goods resulting from handling other than what is necessary to establish the nature, characteristics, and proper functioning of the goods.
The costs of returning the Product remain the responsibility of the Customer, except in the case of a lack of conformity or proven hidden defects of the Product.
In the event of withdrawal, YAMINA will reimburse the payment made for the order in question, including delivery costs (with the exception of additional costs arising from a choice by the Customer, where applicable, regarding a delivery method other than the least expensive standard delivery method offered by YAMINA) as soon as YAMINA has received the product or, in the event of difficulty, as soon as the Customer has provided acceptable proof of shipment of the goods, the date used for the reimbursement being that of the first of these events.
The refund will be processed by Customer Service using the same payment method used for the order, unless a different payment method is expressly agreed upon. In any case, this refund will not incur any fees for the customer.
9.2.3. If the right of withdrawal is exercised for only part of the Order, only the price charged for the returned Products will be refunded.
9.2.4. By way of exception, the right of withdrawal may not be exercised for the contracts listed in Article L.121-21-8 of the Consumer Code, including in particular contracts for the supply of goods made to the consumer's specifications or clearly personalized or which, by reason of their nature, cannot be returned or are liable to deteriorate or expire rapidly.
9.3. Return Procedure Products that the Customer considers non-compliant or defective must be returned to YAMINA at the following address: YAMINA – 2 rue Marcelin Berthelot – 93100 Montreuil, France.
The Client must first contact YAMINA by sending a letter by post, fax or email to info@celine-wright.com indicating the defect or non-conformity found, as well as a photo allowing visualization of said defect or non-conformity.
The request will be reviewed by YAMINA's Customer Service department, and a return authorization number will be sent to the customer by email. This number must be provided when returning the items. Without this return authorization number, a refund, partial or full, or an exchange (at YAMINA's discretion) cannot be processed.
Products must be returned in their original packaging, properly protected. They must be in perfect condition, except for the alleged defect or non-conformity. Any product returned incomplete, damaged, washed, deteriorated, or soiled, even partially, will not be refunded or exchanged.
The customer returns the products, indicating the defect or non-conformity. We recommend keeping proof of return to facilitate procedures in case of any problems that may arise during transport.
ARTICLE 10 - CONDITIONS OF USE OF PRODUCTS
10.1. Prior to any order and any use of Products, the Customer must read all the information provided on the Website, the characteristics and components of the Products and ensure that they are compatible with the use he/she wishes to make of them.
The price of the Products does not include the Customer's contribution to logistics preparation (processing; shipping) and delivery costs, which remain the Customer's responsibility. The total amount of their contribution to these costs is communicated to the Customer either when they log in to the Website (the method for calculating the costs may be used instead when the amount cannot be directly calculated), or when they call Customer Service, before they confirm their Order.
10.2. The Customer agrees to always follow the manufacturer's instructions for use on the packaging and in the user manual before using the Products. YAMINA is available to the Customer for any further information regarding the characteristics of the Products.
ARTICLE 11 - LIABILITY
11.1. The products presented on the Website comply with current French legislation and applicable standards in France.
YAMINA is committed to complying with the legal provisions applicable in France.
The Customer is solely responsible for complying with the regulations applicable in their country of residence or in the country of destination of the Products. It is their responsibility to inquire with the relevant local authorities about any restrictions on the import, export, or use of the Products they intend to order from the Website.
11.2. The service provided by YAMINA is limited to the supply of Products under the conditions described in the General Terms and Conditions of Sale. Under no circumstances shall YAMINA be held liable for advice, recommendations, or conditions of use of the Products provided by the manufacturers on the Website or in their user manuals.
11.3. YAMINA's liability is limited to direct and foreseeable damages that may result from the Client's use of the Website and Products. YAMINA shall not be liable for damages resulting from the Client's misuse of the Products.
YAMINA accepts no liability towards Clients acting within the scope of their industrial, commercial, craft, or professional activities for indirect damages, operating losses, lost profits, lost opportunities for gain, or damage to reputation that may result from the purchase of products. In the event of proven liability, it shall be limited to the total amount of the Order including VAT.
If the use of the products proves impossible or harmful, in particular due to incompatibility with other equipment, failure of the installation or electrical connection, any compensation, reimbursement or liability on the part of YAMINA would be excluded.
YAMINA cannot be held liable if the non-performance or improper performance of its own obligations is attributable to the Client, to the unforeseeable and insurmountable act of a third party unrelated to the delivery of the Products, or to an unforeseeable, irresistible and external case of force majeure.
In general, YAMINA cannot under any circumstances be held liable for indirect or unforeseeable damages caused in connection with the use of the Website and the Ordering of Products.
11.4. YAMINA shall not be held liable under any circumstances for (i) the content available on other websites or Internet sources accessible via hyperlinks inserted on the Website (and in particular for advertisements, products, services or any other information), nor (ii) any damages of any kind that may be suffered by the Client during a visit to these sites.
Use of the Website implies knowledge and acceptance by the Client of the characteristics and limitations of the Internet and related technologies.
Since YAMINA itself is dependent on the quality of the internet network, it does not guarantee the continuous operation of the website and does not ensure the correction of any defects found on the internet network. Consequently, YAMINA cannot be held liable for any unavailability of the website or any connection difficulties or interruptions (server malfunctions, telephone line problems, or any other technical connection issues) during website use, or more generally, for any internet network disruptions affecting website use. In this context, YAMINA is not responsible for forms being sent to an incorrect or incomplete address, for any computer errors, or for any defects found on the website.
11.5. Unless otherwise stipulated, the Website is accessible from any location, provided that minimum technical requirements are met, particularly regarding internet access, mobile phone service, and the technical compatibility of the equipment used by the Customer. Given the global nature of the internet, the Customer agrees to comply with all public policy rules relating to the conduct of internet users and applicable in the country from which they access the Website.
ARTICLE 12 - ELECTRONIC FILE - PROTECTION OF PERSONAL DATA
12.1. Purpose of data retention: In order to process orders, YAMINA processes personal data concerning the Customer, identified as mandatory in the forms appearing on the Website.
YAMINA may also collect and store information about the User during certain procedures, including but not limited to the creation of their account, registration to receive automatic electronic messages (newsletters, commercial offers, etc.), participation in a competition, and response to a survey.
12.2. Data Storage and Transmission: YAMINA is committed to respecting the confidentiality of personal data provided by Customers on the website and to processing it in accordance with the French Data Protection Act of 6 January 1978, as amended and currently in force. The database created by YAMINA for this purpose has been registered with the CNIL (French Data Protection Authority), in accordance with the requirements of the French Data Protection Act.
YAMINA is committed to not disclosing your personal data except with the User's express authorization or in specific circumstances. YAMINA may therefore be required to share this data with its service providers for order processing and delivery, after-sales service, and to conduct customer satisfaction surveys. Furthermore, YAMINA may also disclose this data to comply with a court order from judicial or administrative authorities.
12.3. Responsibility for processing: All processing of personal information communicated to YAMINA is carried out under the responsibility of YAMINA.
12.4 Right of rectification and erasure: The User has the right to access, modify, rectify and erase their personal data (French Data Protection Act of 6 January 1978). ARTICLE 13 - SUSPENSION - TERMINATION
The Customer may cancel their registration on the Website and close their account at any time. To do so, the Customer must send their cancellation request to Customer Service.
In the event of a breach by the Client of any of its contractual obligations, particularly in the event of a payment incident, YAMINA reserves the right to suspend the Client's access to the Website and YAMINA's services, or even to terminate its account depending on the severity of the breach. YAMINA reserves the right to refuse any order from a Client with whom there is an existing dispute.
ARTICLE 14 - INTELLECTUAL AND INDUSTRIAL PROPERTY RIGHTS
All elements published within the Website, such as sounds, images, photographs, videos, writings, animations, programs, graphic charter, database utilities, software, and other underlying technology are protected by the provisions of the Intellectual Property Code and belong to YAMINA or its partners.
The YAMINA brand, as well as all figurative or non-figurative trademarks and more generally all other trademarks, illustrations, images and logos appearing on the articles, their accessories or their packaging, whether registered or not, are and will remain the exclusive property of YAMINA, with the exception of the rights held on the visuals of the products, trademarks and logos of the suppliers of the Products presented on the Website.
Any reproduction, in whole or in part, modification or use of these trademarks, illustrations, images and logos, for any reason and on any medium whatsoever, without the express prior consent of YAMINA, is strictly prohibited.
Unless expressly authorized, YAMINA prohibits the placement of any hyperlink to the Website. A Client wishing to place a link on their personal website that redirects directly to the Website's homepage must first obtain express authorization from YAMINA.
ARTICLE 15 - MISCELLANEOUS
15.1. Partial invalidity: In the event that one or more provisions of the General Terms and Conditions of Sale are deemed illegal or unenforceable by a competent court, the other provisions shall remain in force and retain their scope and effect.
15.2. Evidence
Computerized records will be kept in YAMINA's computer systems under reasonable security conditions and will be considered as proof of exchanges, orders and payments made on the Website or by email, unless the Client provides evidence to the contrary.
It is expressly agreed that YAMINA and the Client may communicate with each other electronically or by telephone via the number available on the Website.
YAMINA and the Client agree that the emails exchanged between them validly prove the content of their exchanges and, where applicable, their commitments, particularly with regard to the transmission and acceptance of orders.
15.3. Storage and archiving: Contractual documents are archived on a reliable and durable medium so as to correspond to a faithful and durable copy that can be produced as evidence.
15.4. Waiver: The fact that YAMINA does not exercise any of its rights under the General Terms and Conditions of Sale shall not constitute a waiver by it of that right and of exercising it subsequently, such a waiver being able to result only from an express declaration.
15.5. Force majeure: YAMINA's performance of all or part of its obligations, including delivery, will be suspended in the event of an unforeseen event or force majeure which would hinder or delay its performance.
The following are considered as such, in particular, without this list being exhaustive: war, riots, insurrection, social unrest, strikes of all kinds.
YAMINA will inform Customers of any unforeseen event or force majeure within seven days of its occurrence. Should this suspension continue beyond fifteen days, the Customer will have the option to cancel the current order, and a refund of the price of the Products ordered and the delivery charges paid will then be issued.
ARTICLE 16 - SUSPENSION - TERMINATION
These General Terms and Conditions of Sale are governed by French law. Only the French version of these General Terms and Conditions of Sale shall be considered valid.
In the event of any difficulty arising during the Ordering, delivery of the Products and more generally the execution of the sale, the Customer will have the possibility, before any legal action, to seek an amicable solution, in particular with the help of a consumer association or any other advisor of his choice.
Any dispute arising from the interpretation or execution of the General Terms and Conditions of Sale and its consequences shall be brought before the competent courts.
The General Terms and Conditions of Sale also apply in the relationship with any user of the Website who has not placed an Order, in particular with regard to articles 11 to 15.
